Affiliate & Wholesale Partner Policy

Effective Date: April 7, 2026

This policy governs participation in the Paw Prosper Partner Program (the “Program”). The Program is open to veterinary clinics, rehabilitation or physiotherapy facilities, professional dog trainers, and other professional entities whose primary business is providing services for animals. By enrolling in the Program, you agree to comply with the terms and conditions set forth below.

Paw Prosper reserves the right to update this policy at any time. Continued participation in the Program following any changes constitutes acceptance of the revised terms.

Section A — Program Overview & Enrollment

1. Program Types

Upon enrollment, approved partners are eligible for both of the following program types:

Affiliate Link Partner

You promote Paw Prosper products using a unique tracking link and earn Rewards Points redeemable for cash or product credit on qualifying sales generated through that link. Full details are provided in Section B.

Wholesale Partner

You purchase Paw Prosper products at a discounted wholesale rate for direct resale to your customers (pet owners/clients). Wholesale purchases are also eligible for the Rewards Program as described in Section B.

2. Enrollment & Acceptance

Enrollment in the Program is subject to Paw Prosper’s review and approval. Paw Prosper reserves the right to accept or decline any application for any reason, without obligation to provide an explanation.

Compensation, Payment & Tracking

3. Affiliate Link Partner — Rewards Points

Paw Prosper awards Rewards Points to Affiliate Link Partners for qualifying purchases made through their unique affiliate link. Point earning rates and redemption terms are defined in Section B.

4. Wholesale Partner — Discount

Wholesale Discount

Approved Wholesale Partners receive a standing discount off the standard retail price (MSRP) for all eligible products purchased directly from Paw Prosper for resale. The applicable discount level is determined at the time a Paw Prosper partner account is granted.

Resale Pricing & Minimum Advertised Price (MAP)

Partners are free to set their own retail prices; however, you must adhere to the Minimum Advertised Price (MAP) established by Paw Prosper for all associated retail brand sites. The current list of brand sites can be found at pawprosper.com/pages/our-brands.

MAP Non-Compliance

Advertising any Paw Prosper brand product below the established MAP on any digital platform — including your own website — constitutes a material violation of this policy and may result in immediate removal from the Paw Prosper Partner Program.

5. Chargebacks & Returns

Paw Prosper reserves the right to withhold or deduct from future commissions, payments, or accrued Rewards Points any amounts associated with products that are returned, canceled, or subject to chargebacks.

Marketing & Compliance

6. Marketing Materials & Usage

Partners may only use approved marketing materials — including logos, product descriptions, and images — provided or explicitly authorized by Paw Prosper. All use of Paw Prosper’s intellectual property must comply with our current branding guidelines.

7. Required Disclosure (Affiliate Link Partners)

Partners must comply with all applicable laws and regulations, including U.S. Federal Trade Commission (FTC) guidelines on endorsements and testimonials. You must clearly and conspicuously disclose your financial relationship with Paw Prosper whenever promoting our products.

Example disclosure:

“As a Paw Prosper partner, we may earn a commission on sales made through our link.”

8. Prohibited Activities

Partners are prohibited from the following activities:

•       Engaging in any misleading, deceptive, or unethical practices.

•       Using spam, forced redirection, or inappropriate advertising methods.

•       Registering, purchasing, or bidding on any trademarks, variations, or misspellings of “Paw Prosper” or any Paw Prosper brand or product name (e.g., “Paw Prosper coupons”) as keywords for Pay-Per-Click (PPC) advertising.

•       Making any claims about Paw Prosper products or brands that are not substantiated or approved by Paw Prosper, particularly health or therapeutic claims.

•       Selling any Paw Prosper products on third-party retail or wholesale platforms, including but not limited to Amazon, Chewy, and similar third-party sites.

 

Program Duration & Termination

9. Duration

Participation in the Program begins upon acceptance of your application and continues until terminated by either party.

10. Termination

Either Paw Prosper or the Partner may end participation in the Program at any time, with or without cause. Upon termination:

•       You must immediately cease all use of Paw Prosper’s marketing materials and intellectual property.

•       Any Rewards Points outstanding in your Partner Rewards account will be forfeited.

•       Wholesale discount pricing on future orders will no longer apply.

 

Liability & Indemnification

11. Partner Indemnification

By participating in the Program, you agree to indemnify, defend, and hold harmless Paw Prosper from and against any and all claims, damages, liabilities, and expenses arising out of or related to your actions as a Partner, including but not limited to any violation of this policy, violation of applicable law, or misleading statements or conduct.

12. Limitation of Liability

Paw Prosper’s total liability to a Partner under this policy shall not exceed the total commission or discount amounts paid to that Partner in the six (6) months preceding the date on which a claim arose.

General Provisions

13. Independent Relationship

Participation in the Program does not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Paw Prosper. Partners have no authority to make or accept any offers or representations on behalf of Paw Prosper.

14. Governing Law

This policy is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

15. Confidentiality

Partners agree not to disclose any non-public information related to Paw Prosper’s business — including commission rates, wholesale pricing, proprietary systems, or sales data — to any third party without prior written consent from Paw Prosper.

Section B — Paw Prosper Rewards Program

Compensation for participation in the Paw Prosper Partner Program is managed through the Paw Prosper Rewards Program (the “Rewards Program”). Partners earn non-monetary Rewards Points based on qualifying activities, which may be redeemed for various rewards as described below.

16. Earning Rewards Points

A. Client Recommendations (Affiliate Link Partners)

•       Mechanism: Upon enrollment, you will receive a unique Partner link and QR code by clicking “Join Rewards.” Share this link or QR code with clients to recommend products.

•       Earning Rate: You earn 10 Paw Prosper Rewards Points for every $1.00 USD in net client purchases made through your unique Partner link.

•       Tracking: Points are tracked using Paw Prosper’s designated affiliate software platform. Only sales verifiably tracked through your provided link will qualify for Rewards Points.

 

 

B. Wholesale Purchases (Wholesale Partners)

•       Mechanism: Rewards Points are automatically applied to your account upon completion of a qualifying wholesale purchase made directly from Paw Prosper.

•       Earning Rate: You earn 2 Paw Prosper Rewards Points for every $1.00 USD spent on eligible wholesale orders.

 

C. Earning Terms & Conditions

•       Points expire 24 months after they are earned.

•       There is a 30-day holding period before points can be redeemed.

•       Manually granted points can be redeemed instantly.

•       Points are earned only on dollars spent (excludes taxes and shipping).

•       Points are non-transferable.

•       Redeemed rewards cannot be refunded.

•       There is no minimum redemption point threshold for gift cards.

•       Points roll up to the clinic-level or group-level. All clinics must choose whether to collectively accrue at the clinic level or at the parent company level.

•       Only approved veterinary professional partners who work directly with patients or clients are eligible to participate in the Rewards Program. This program is not applicable to non-veterinary professional partners such as distributors.

•       Terms and conditions are subject to change and are governed by the current terms on the official program page.

17. Rewards Points Redemption

Accrued Rewards Points may be redeemed for the following options at the conversion rates listed below. These rates are as of the effective date of this policy and are subject to change.

18. Chargebacks & Returns (Rewards Points)

Paw Prosper reserves the right to withhold or deduct from a Partner’s accrued Rewards Points any points associated with products that are returned, canceled, or subject to chargebacks. If a qualifying purchase that generated points is subsequently reversed, those points will be deducted from the Partner’s rewards balance.
